The difference is that Everliving can be used even when the squad is wiped out. For example, let's say that you have a Necron Lord from a Royal Court attached to a squad of Warriors. If your squad is wiped out or it fails its Morale Test, the reanimation protocol counters for the Warriors are removed, but the Everliving counter left behind when the Necron Lord 'died' remains. He would then get his RP roll. If it passed and the unit he was attached to is still around, he must be placed in coherency with it and be at least 1"away from enemy units.

If the character was not attached to a squad or if it was destroyed, the Necron Lord must be placed within
3" of the Everliving counter and be at least 1" away from enemy units. If it is not possible to place the Necron Lord within 3" of the Everliving counter without being too near the enemy, it stays dead. That is the only condition where a character cannot come back with the Everliving rule (not being able to be placed becasue there are too many enemies around).

Units with RP can be denied the rule because they get wiped out or if they fail Morale checks.
